Embarcadero Technologies Announces Preliminary Second Quarter Results

San Francisco, Calif. - July 2, 2002 - Embarcadero Technologies, Inc. (Nasdaq: EMBT), a leading provider of application and database lifecycle management solutions, today announced preliminary estimated financial results for the quarter ended June 30, 2002. Embarcadero expects to report revenue in the range of $11.8-$12.0 million, as compared to consensus estimates of approximately $12.7 million. Earnings per share, excluding acquired technology and certain non-cash charges, is expected to be in the range of $0.04-$0.05, as compared to consensus estimates of $0.05 for pro forma earnings per share. Management will provide revenue and earnings guidance for the remainder of fiscal year 2002 on its regularly scheduled second quarter earnings conference call to be held on July 22, 2002.

Embarcadero also announced that its Board of Directors has authorized increasing the Company’s stock repurchase program, first announced in September 2001, by up to an additional 2 million shares of its common stock. The program authorizes the Company to make repurchases from time to time in the open market and in negotiated transactions, including block transactions, depending on market conditions and other factors. The stock repurchase program may be discontinued at any time.

Embarcadero will discuss its preliminary financial results for the second quarter on a conference call and simultaneous Web cast to be held today, July 2, 2002, at 2:00 PM PST.
